1. AGREEMENT TO TERMS
By accessing or using the LVBX Radius platform and website (collectively, the "Platform"), operated by LVBX Social, Inc., a California corporation ("LVBX," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Platform.
These Terms apply to all users of the Platform, including aesthetic brands, practices, creators, and visitors.
2. DESCRIPTION OF SERVICES
LVBX Radius is a social media content distribution and creator network platform built for the aesthetics industry. Our services include:
- Automated distribution of brand-generated content to connected practice social media accounts
- UGC identification, approval, and network-wide deployment
- Creator-to-practice matching and content coordination
- Performance reporting including reach, impressions, and potential earned media value data
- Practice workspace management and brand selection tools
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.
3. ELIGIBILITY
You must be at least 18 years of age to use the Platform. By using the Platform you represent and warrant that you are 18 or older and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
4. ACCOUNT REGISTRATION
To access certain features of the Platform you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your login credentials confidential and not share them with any third party
- Notify us immediately at privacy@lvbxradius.com if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or have been inactive for an extended period.
5. USER TYPES AND SPECIFIC TERMS
Brands
Brands that join the Platform as program partners agree to:
- Provide content that is accurate, lawful, and compliant with all applicable advertising standards and FTC guidelines
- Ensure all claims made in brand content are substantiated and not misleading
- Maintain appropriate licenses and permissions for all content uploaded to the Platform
- Comply with the terms of their selected program tier and payment obligations
- Not use the Platform to distribute content that promotes competing platforms or services without prior written consent
Practices
Practices that connect their social media accounts agree to:
- Authorize LVBX Radius to post content to their connected Instagram and Facebook accounts on their behalf
- Select only brands they genuinely carry and are authorized to represent
- Maintain their connected social media accounts in good standing and in compliance with the terms of those platforms
- Not hold LVBX liable for the performance, reach, or engagement of any content posted through the Platform
- Maintain responsibility for reviewing brand content selections made available through their workspace
Creators
Creators who participate in the LVBX Radius network agree to:
- Provide honest, authentic content based on genuine personal experience
- Disclose any material connection to brands as required by FTC guidelines and applicable law
- Grant LVBX Radius and connected practices a license to distribute, display, and share their submitted content across the network as described in Section 9
- Not submit content that is fabricated, misleading, or based on experiences they did not personally have
- Represent that they own or have the rights to all content they submit
6. SOCIAL MEDIA PLATFORM CONNECTIONS
When you connect your Instagram, Facebook, or other social media accounts to the Platform, you authorize LVBX Radius to access and use those accounts as permitted by your authorization. You represent that you have the authority to grant this access and that doing so does not violate the terms of service of those platforms.
You may disconnect your social media accounts at any time through your account settings. Disconnecting your accounts will stop future automated posting but will not remove content already published.
LVBX Radius is not affiliated with, endorsed by, or in any way officially connected to Meta, Instagram, Facebook, or any other social media platform.
7. PROHIBITED CONDUCT
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party rights
- Submit, upload, or distribute content that is defamatory, obscene, fraudulent, harassing, threatening, or discriminatory
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Upload content that infringes any copyright, trademark, trade secret, or other intellectual property right
- Transmit spam, unsolicited communications, or any form of automated scraping
- Attempt to gain unauthorized access to any part of the Platform or other users' accounts
- Introduce malware, viruses, or any other malicious code
- Circumvent or interfere with the Platform's security features or functionality
- Use the Platform for any purpose that competes directly with LVBX Radius without prior written consent
- Make false or misleading claims about products, treatments, or results in any content distributed through the Platform
8. CONTENT STANDARDS
All content submitted to or distributed through the Platform must:
- Comply with FTC endorsement and testimonial guidelines, including clear disclosure of any material connections
- Comply with all applicable advertising standards and regulations governing the aesthetics industry
- Not make unsubstantiated medical or clinical claims
- Not depict before-and-after treatment results in a misleading manner
- Comply with the community standards and terms of service of any social media platform on which it is distributed
We reserve the right to remove any content that violates these standards without notice and to suspend or terminate the accounts of users who repeatedly submit non-compliant content.
9. INTELLECTUAL PROPERTY AND CONTENT LICENSES
LVBX Intellectual Property
The Platform, including its design, features, software, trademarks, logos, and content created by LVBX, is owned by LVBX RADIUS, Inc. and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our intellectual property without our prior written consent.
Your Content
You retain ownership of the content you create and submit to the Platform. By submitting content, you grant LVBX Radius and connected network participants a non-exclusive, royalty-free, worldwide license to use, display, distribute, reproduce, and share that content through the Platform for the purposes described in these Terms. This license continues for the duration your content remains active in the network and terminates when you remove your content or close your account, subject to content already published to social media channels.
Brand Content
Brands retain ownership of all content they upload to the Platform. By uploading content, brands grant LVBX Radius a license to distribute that content to connected practices as authorized by the brand's program settings.
Feedback
If you submit feedback, suggestions, or ideas about the Platform, you grant us the right to use that feedback without restriction or compensation to you.
10. PAYMENT TERMS
Brand Program Fees
Brand program fees are charged monthly in advance based on the selected tier. All fees are non-refundable except as expressly provided in these Terms or required by law.
Practice Subscriptions
Practice subscriptions are charged monthly. Practices may cancel at any time through their account settings. Cancellation takes effect at the end of the current billing period.
Payment Processing
All payments are processed through our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for maintaining current and accurate billing information.
Failed Payments
If a payment fails, we will notify you and attempt to process the payment again. Accounts with failed payments may be suspended until payment is resolved. We reserve the right to terminate accounts with extended non-payment.
Price Changes
We may change our pricing with 30 days written notice. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
11. TERM AND TERMINATION
Term
These Terms remain in effect for as long as you use the Platform or maintain an account.
Termination by You
You may close your account at any time through your account settings or by contacting us at support@lvbxradius.com. Brand program participants are subject to the minimum commitment period of their selected program tier.
Termination by LVBX
We may suspend or terminate your account and access to the Platform at any time, with or without cause, with reasonable notice where practicable. We may terminate immediately if you violate these Terms, engage in fraudulent activity, or if continued access poses a risk to the Platform or other users.
Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Content already distributed to social media channels prior to termination will remain on those channels unless you remove it directly. We will retain your information as required by law and as described in our Privacy Policy.
12. DISCLAIMERS
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LVBX SOCIAL, INC. DISCLAIMS ALL WARRANTIES INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that content distributed through the Platform will achieve any particular reach, engagement, or business outcome.
Potential EMV figures, performance estimates, and projections provided through the Platform are estimates only and do not constitute guarantees of any particular result.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LVBX SOCIAL, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LVBX Social, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your content, your violation of these Terms, or your violation of any third-party rights.
15. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of California without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Platform shall first be submitted to good-faith informal negotiation by contacting us at legal@lvbxradius.com. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration administered by JAMS in Los Angeles, California, under its Streamlined Arbitration Rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration against LVBX Social, Inc.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.
16. THIRD-PARTY SERVICES AND LINKS
The Platform may integrate with or link to third-party services including social media platforms, payment processors, and analytics providers. These third-party services are governed by their own terms and privacy policies. LVBX is not responsible for the practices, content, or availability of any third-party services.
17. CHANGES TO THESE TERMS
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the changes.
18. MISCELLANEOUS
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and LVBX Radius, Inc. regarding the Platform and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure. We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
